Through a rich exchange of ideas, meaningful collaboration, and a nimble operating model, we're powering some of the nation's most critical systems, fueling capital formation and innovation, bringing increased opportunity to business visionaries, product ingenuity to consumers, and career exploration to our team.Ready to be part of the action?Now Hiring - Head, Corporate ActionsThe Head, Corporate Actions’ overall key responsibilities are to: a) oversee the Client facing Corporate Action team to ensure that any Corporate Action events are negotiated, implemented, managed and successfully completed within the terms and requirements of our engagement, b) oversee the Operational team that complete the transactional processing of Corporate Action events, and c) ensure that the department is properly positioned to successfully deliver on any appointments.ResponsibilitiesManage Corporate Action Events (oversight of management)Oversee the client facing team to strategize how events will be executed and provide input and oversight on processes and fee proposals. The Head, Corporate Actions has ultimate responsibility for fees, operational feasibility of Corporate Actions events and corporate liability.Responsible for managing the overall profitability ( P&L), revenue, expenses, and budget for Corporate Action Events for all of TSX TrustOversee operational team and maintain oversight of Corporate Action events through appointment, negotiation, operational implementation and processing. Oversight responsibilities include reviewing of documentation, oversight of implementation of required processes to ensure success of event, coordinating with external stakeholders (e.g. CDS and DTCC, other transfer agents, etc.), liaising with other business units including IT and cash management, planning of staffing requirements, coordinating required reporting, coordinating required tax reporting, and ensuring accurate and timely billing.Maintain overall accountability for all projects carried out in the department, ensuring implementation of required processes, successful completion of projects, and that all client requirements/expectations are met.Manage any escalations reported by teams and track and identify opportunities for improvement.Liaise with other departments to resolve issues and address matters of concern.Overall responsibility for department revenue and expenses.Process Oversight and ImprovementIdentify productivity and procedural improvements that will result in cost savings and/or improved services.Provide statistical and management reports, as required.Ensure compliance with policies, procedures and regulatory requirements.Complete quarterly Risk Self-Assessment for departmentParticipate in maintenance of the Business Continuity Plan for the departmentPeriodic review & update of department Policy and Procedure ManualTake an active role in identifying, monitoring, managing and reporting on risk within the business unit and fulfilling the requirements of the DRO mandateResponsible for assessing business unit compliance with applicable regulatory requirements and fulfilling the requirements of the DCO mandateMonitor for any incidents or near misses and work with teams on implementation of remedial processes and procedural updates.Ensure compliance with policies, procedures and regulatory requirements.Team LeadershipManage and support the client facing and operations teams by being a SME on Corporate Actions and facilitating a culture of collaboration, improvement, efficiency, positive growth and learningEnsure appropriate staffing is in place to support the work in the unit, including team structure of managers, team leaders and administrative staff, as appropriate.Provide leadership, technical advice and support to staff; maintain good morale and foster teamwork within the Unit.Ensure performance reviews are completed and that objectives are set with staff, in accordance with Company policy.Oversee the recruitment of new staff and ensure that appropriate training and cross training are made available.Oversee the administration of personnel policy within the Unit.Working with management, set the Unit’s objectives; ensure that the team have the tools to meet these objectives.Other ResponsibilitiesGrow and maintain strong relationships with existing clients and the legal community.Verify, approve invoices, and allocate costs for the Unit.Support management in development of annual budget.Skills and Experience:Deep expertise in Corporate Action eventsFinancial services industry experience; Trust company experience idealCollege diploma or university degree, or equivalent experience.Canadian Securities Course, an asset.Minimum of 7 to 10 years’ experience in similar role, including management responsibilitiesBilingual in French and English, an asset.Proficient in Microsoft Office and Google SuiteCommunication: Excellent written, verbal and listening skillsAdaptable: Flexibility and willingness to work simultaneously on a wide range of tasks and projects and ability to prioritizeChange Agent: Enables co-workers/subordinates to work effectively.
