Then we're looking for talent like you to join the OGC!What will your typical day look like?As Commercial Legal Counsel you will serve as a subject matter expert on commercial engagements, leading, structuring, drafting and negotiating complex client transactions, and providing strategic legal advice to business clients on high impact, intricate commercial matters on behalf of the Office of the General Counsel. Responsibilities will include but are not limited to:
  • Leading, structuring, drafting and negotiating complex client transactions in a fast-paced corporate environment including, master services agreements, statements of work, service level agreements, professional services agreements, master subscription agreements, license agreements, managed services agreements and requests for proposals (RFPs).
  • Advising on legal risks associated with transactions and offering innovative solutions to effectively mitigate risks.
  • Negotiating and providing strategic and tactical advice on complex, high-stakes commercial transactions to business clients.
  • Negotiating and drafting agreements with significant technology components (e.g., SaaS agreements, cloud-based engagement, system implementation agreements).
  • Serving as a subject matter expert for commercial engagements and RFPs.
  • Building and maintaining strong relationships with internal and external business and corporate clients, partnering closely with them to ensure the delivery of exceptional legal service.
  • Coordinating cross-border legal advice by fostering strong, collaborative relationships with global partners.
  • Contributing to high priority legal department initiatives, including knowledge management and process optimization.
About the teamThe Office of the General Counsel is a national, high performing team of legal professionals dedicated to providing expert legal advice to Deloitte Canada and its leadership. The OGC consists of approximately 40 members including lawyers, paralegals, law clerks and paraprofessionals.   • Undergraduate degree and Law degree.
  • Active membership in good standing with the Law Society of Ontario or another Canadian Province.
  • 6+ years combined experience in law firms and/or in-house legal departments, including experience negotiating and drafting commercial agreements.
  • Hands-on experience and strong proficiency in negotiating and drafting technology agreements.
  • Experience with complex technology, Intellectual Property (IP), privacy and AI is an asset.
  • Excellent analytical and problem-solving abilities with a track record of resolving complex issues.
  • Strong interpersonal skills and highly responsive with a service-oriented attitude.
  • Proven ability to thrive in fast-paced, collaborative environments.
  • Business minded with sound and practical business judgement.
  • Strong work ethic with exceptional organizational and time-management skills.
  • Self-motivated, able to work independently and collaboratively within a team.
  • Ability to build and maintain business relationships across the Deloitte network and externally
  • Strong communication and drafting skills
It would be great for you to have some of these nice to have's as well:
  • French language written and oral skills is an asset (Due to the nature of the role having interactions with National & Global clients, English is required for this position)
Total RewardsThe salary range for this position is $140,000 - $260,000, and individuals may be eligible to participate in our bonus program.
