The most forward-thinking marketers choose StackAdapt to orchestrate high-impact campaigns across programmatic advertising and marketing channels.StackAdapt is seeking an experienced attorney in the role of Commercial Counsel, reporting to the Commercial Counsel, Enterprises and Alliances.Candidates must have at least 5 years of advertising technology or general software platform legal experience, with a focus on transaction support, commercial contract drafting and negotiation, data governance and privacy, advertising and marketing technology and artificial intelligence matters, either in an in-house or law firm settingThis individual will be a key member of the Legal team and supporting the Revenue/sales organization, driving commercial transactions to close while ensuring compliance with legal and operational standards.The ideal candidate will have a strong foundation in commercial transactions, a deep understanding of IP issues and data licensing concepts, and the ability to collaborate effectively with key stakeholders and other business teams.This position requires strong negotiation skills and a demonstrated ability to manage commercial and legal risks in a fast-paced, technology focused environment. Successful candidates will demonstrate creativity, a day-to-day ability to think outside the box, and an ability to work collaboratively and dependably with others in a remote setting. As StackAdapt is a Remote First company, you will work as part of a highly collaborative remote global Legal team.This is a rare and exciting opportunity that allows you to play a key role on an expanding Legal team at a high growth Canadian tech company, and to apply your leadership skills and vision to the role.This role is open to candidates located anywhere in Canada or the US. Occasional travel may be requiredWhat you'll be doing:
  • Structure, negotiate and draft a wide range of commercial agreements
  • Provide legal advice to key stakeholders on commercial and legal matters within the business
  • Provide thought leadership internally and externally
  • Provide leadership, mentorship and training to StackAdapters
What you'll bring to the table:
  • Practical, business-minded lawyer with significant professional experience in an inhouse and/or reputable firm setting; US or Global experience is preferred
  • Call to the Bar in one or more Canadian Provinces or one or more US states, with active license to practice law in such jurisdiction(s)
  • In house experience in advertising, technology, adtech, data, or media company
  • Able to “own” and manage projects from beginning to end, with an internally driven sense of follow through
  • Excellent legal and business judgment and proven ability to balance legal risks and business strategy
  • Exceptional writing skills, and an ability to create original drafted documents
  • A desire to mentor and educate non-legal team members in a constructive and motivational way, consistent with StackAdapt culture and values
  • Strong attention to detail and ability to handle multiple projects simultaneously
  • A positive, collaborative spirit, and a learning mindset
  • Adaptable, comfortable with ambiguity, and enjoy a fast-paced environment
