- Source, screen, and evaluate M&A targets aligned with Corel’s strategic priorities — building financial models, market maps, and investment theses to support board-level decision-making.
- Lead cross-functional due diligence across finance, legal, IT, product, and engineering — with a focus on separation complexity, standalone cost structures, and critical-path dependencies.
- Design and manage carve-out execution plans: scoping TSA agreements, defining separation milestones for IT, HR, and finance systems, and coordinating Day 1 readiness across workstreams.
- Build and own the integration management office (IMO) for closed deals — tracking synergy realization, system migrations, org design decisions, and customer continuity milestones.
- Manage TSA exit timelines and dependency waterfalls, partnering with IT and operations to stand up standalone infrastructure (ERP, CRM, HRIS) within target windows.
- Prepare board-ready materials including deal memos, valuation analyses, integration scorecards, and carve-out status updates that keep leadership aligned on progress and risk.
- 6+ years of experience in corporate development, investment banking, private equity, or management consulting with a focus on M&A execution in the technology sector.
- Direct experience managing carve-out or separation workstreams — including TSA negotiation, standalone cost modeling, and Day 1 readiness planning.
- Proven track record leading post-close integration: standing up an IMO, tracking synergies, managing system migrations, and coordinating cross-functional workstreams.
- Strong financial modeling skills — you can build DCFs, LBO models, standalone cost bridges, and comparable company analyses from scratch.
- Excellent communication skills with experience presenting deal and integration updates to C-suite and board-level audiences.
- A structured, analytical mindset with comfort in ambiguity and fast-changing deal timelines.
- Ability to manage multiple concurrent workstreams — you stay organized across pipeline, active diligence, and in-flight integrations simultaneously.
- Experience with software or SaaS carve-outs, particularly separating shared IT stacks (ERP, CRM, identity management) into standalone environments.
- Familiarity with PE-backed portfolio environments, value creation planning, and 100-day integration playbooks.
