Location: Vancouver H/O - Canfor/CWPM_1000Canfor Corporation is seeking an experienced Corporate Governance Paralegal to support our Legal Department with corporate secretarial functions and governance matters. This role will assist in maintaining corporate records, supporting board and committee meetings, and ensuring compliance with regulatory requirements for our publicly traded company.A day in the life of the Corporate Governance Paralegal includes:
- Maintain corporate records and minute books for Canfor and its subsidiaries
- Prepare and file annual returns, notices of change, and other corporate filings
- Assist with preparation of board and committee meeting materials, including agendas, presentations, and board packages
- Support the General Counsel and Corporate Secretary with governance matters and regulatory filings
- Assist with TSX and securities filings and compliance requirements
- Coordinate annual general meetings and special shareholder meetings
- Maintain director and officer questionnaires and related documentation
- Track corporate policies and assist with policy reviews and updates
- Support subsidiary governance and maintain subsidiary records
- Assist with insider trading reports and blackout period communications
- Research corporate governance best practices and regulatory developments
- Provide administrative support to the Canfor Legal Team as needed
- 5-10 years of paralegal experience, preferably in a corporate or securities law environment
- Previous experience with corporate secretarial functions and governance matters
- Paralegal certificate or diploma from an accredited institution
- Bachelor's degree in a related field preferred
- Strong attention to detail and organizational skills
- Excellent written and verbal communication abilities
- Proficiency with Microsoft Office suite, particularly Word, Excel, and PowerPoint
- Experience with corporate records management software
- Ability to handle confidential information with discretion
- Strong time management skills and ability to meet deadlines
- Knowledge of corporate governance principles and practices
- Understanding of securities regulations and public company requirements
- Ability to work independently and as part of a team
- Problem-solving skills and proactive approach
- Experience supporting board and committee meetings
- Familiarity with TSX requirements and securities regulations preferred
- Experience in the forest products or natural resources sector is an asset
- Continuing education in corporate governance or securities law is an asset
