- Assist lawyers in drafting and preparing various corporate documents, including articles of incorporation, resolutions, shareholder agreements, share/asset sale and purchase agreements, and annual filings
- Manage and file corporate documents with the relevant government authorities
- Maintain accurate corporate records, minute books, and databases
- Client communication to gather necessary information, respond to inquiries, and provide updates
- Assist in conducting due diligence reviews and research related to corporate transactions and compliance matters
- Provide administrative and organizational support to lawyers in corporate transactions, mergers, acquisitions, and other related matters
- 5+ years of Corporate Law Clerk experience in a law firm environment with demonstrated experience supporting transactional work
- Strong attention to detail in preparing and reviewing legal documents and filings.
- Excellent written and verbal communication skills in English; fluency in French would be considered an asset
- Strong organizational skills and the ability to manage multiple tasks efficiently and independently, while proactively identifying priorities and flagging issues as they arise
