The candidate will be responsible for managing contract negotiations, approvals, signatures and filing processes, while providing legal support to various corporate functions.Your Day with Equisoft:Provide legal advice and counsel on contractual matters, risk assessment, and commercial arrangements.Lead contract negotiations and provide legal guidance on global NDAs, commercial agreements, licensing agreements, statements of work, amendments, change requests, and renewals.Identify and advise on legal risks in contractual arrangements and recommend mitigation strategies.Collaborate with business stakeholders to understand commercial objectives and provide practical, business-oriented legal solutions.Review, draft, and negotiate a wide range of commercial contracts, ensuring alignment with corporate policies and legal requirements.Support the development and implementation of contract templates, playbooks, and standard terms to enhance efficiency and consistency.Lead the development and management of Spanish-language contract templates and ensure consistency across all Spanish-speaking jurisdictions where Equisoft operates.Support the continuous improvement of contracting processes and workflows to increase efficiency and ensure best practices across the organization.Oversee contract administration processes, including internal approvals, execution, document management, and e-signature workflows.Prepare and circulate contract summaries and maintain organized records of contract drafts, exchanges, and final executed versions.Support the management and maintenance of Equisoft's global trademark portfolio, including monitoring renewals, coordinating filings, and liaising with external counsel.Provide support for corporate secretarial matters as needed, primarily in Latin American jurisdictions.Oversee and coordinate Equisoft's renewal of insurance policiesAssist the Director, Legal Services & Corporate Secretary on other matters as neededStay informed of relevant legal developments and industry best practices in contract law and technology licensing.Requirements:TechnicalBachelor's Degree in LawLicensed lawyer in the Canada, Colombia, or ChileMinimum of 5 years experience of legal experience in a law firm setting, in corporate or commercial lawStrong understanding of contract law and legal principles.Knowledge of licensing agreements, including SaaS agreements, is a significant advantage.Knowledge of Microsoft 365 applications.Excellent knowledge of French, English and Spanish (Spoken and written), for candidates in Montreal.Excellent knowledge in English & Spanish (spoken and written), for candidates in Latam.Soft skillsStrong sense of organization and prioritizingAbility to work independently and take initiative.Analytical and problem-solving skillsAbility to communicate, write and synthesize informationAbility to multi-task in a rapid-paced environmentTeam spirit, tact, diplomacy, autonomy, rigor, and disciplineEquisoft is committed to creating a diverse environment and is proud to be an equal opportunity employer.
