Support Scope: Direct administrative and operational support for 2 lawyersPosition SummaryWe are seeking a highly organized, proactive, and tech-forward Law Clerk to support a busy legal function operating across multiple public and private entities. This role is ideal for a resourceful professional who thrives in a fast-paced environment, can manage a high volume of governance and compliance work, and consistently thinks several steps ahead.The successful candidate will play a central role in supporting corporate governance, board administration, Canadian filings and entity maintenance, legal operations, and executive-level coordination. This person will be trusted to help keep critical legal and corporate obligations on track, anticipate needs before they arise, and bring professionalism, judgment, and calm execution to sensitive and high-visibility work.This is a remote role based in Toronto or Vancouver, with periodic visits to the office for collaboration sessions.Key ResponsibilitiesCorporate Governance & Board Administration
- Coordinate and manage board and committee cycles for multiple public and private entities, including scheduling, agenda support, meeting logistics, circulation of materials, follow-ups, and maintenance of records.
- Prepare, organize, and maintain board materials, resolutions, written consents, shareholder documents, and minute book records.
- Maintain and update corporate records and minute books for a portfolio of entities.
- Support changes in directors, officers, ownership, and other corporate updates by preparing and filing required documentation.
- Track governance calendars, annual obligations, and recurring board-related deliverables with precision.
- Manage and coordinate corporate filings across Canada, including annual returns, extra-provincial registrations, renewals, and other required submissions.
- Support incorporations, continuances, amalgamations, dissolutions, business name registrations, and related entity maintenance activities.
- Maintain compliance calendars and ensure deadlines are met for public and private entities.
- Assist with public-company-related governance and administrative requirements, leveraging prior public company experience to maintain rigor, discretion, and timeliness.
- Provide day-to-day administrative support for 2 lawyers, including:
- calendar coordination
- expense management
- meeting support
- document organization
- invoice and billing administration
- Process legal invoices and support legal vendor coordination.
- Maintain legal trackers, filing logs, compliance records, and operational dashboards.
- Support collaboration across Legal, Finance, HR, Insurance, Operations, and other internal stakeholders.
- Assist with corporate transactions and legal projects by organizing due diligence materials, coordinating signatures, maintaining checklists, and tracking post-closing deliverables.
- Support the preparation and organization of legal documents, notices, and records arising from transactions or corporate changes.
- Help maintain lease summaries, trackers, and other legal reference materials as needed.
- Ensure documents, records, and processes are managed accurately, confidentially, and efficiently.
- Actively use and adopt AI tools and other technology solutions to improve efficiency, quality, organization, and responsiveness.
- Identify opportunities to streamline recurring legal and administrative workflows, improve templates, and strengthen tracking systems.
- Approach work with curiosity and confidence in learning new tools, including legal tech and AI-enabled platforms.
- University degree required.
- Experience in a legal administrator, corporate legal assistant, corporate clerk, governance, or similar role.
- Experience supporting multiple public and private entities.
- Experience managing or coordinating board cycles, board materials, and corporate governance records.
- Experience with corporate filings across Canada.
- Prior public company experience.
- Experience providing administrative support to senior legal professionals, including expenses, travel, and executive scheduling.
- Strong command of Microsoft Office and document management tools.
- Comfortable, confident, and unafraid to use and leverage AI tools in day-to-day work.
- Strong executive presence, sound judgment, and professionalism in dealing with senior leaders and confidential matters.
- Highly proactive, with the ability to anticipate needs and think several steps ahead.
- Exceptional organizational skills and attention to detail.
