As a key member of the Corporate Secretariat you will be joining a dynamic and talented team who deliver exceptional services.As a member of the Corporate Secretariat, you will be responsible for a combination of the following:Performing a variety of legal and administrative duties while coordinating and assisting senior law clerks or lawyers with assigned mattersPreparing routine minute book documentationPreparing and filing articles and corporate documentation relating to simple and complex incorporations, amendments, continuances, amalgamations and dissolutions and other corporate transactions, particularly under the OBCA and CBCAPreparing and filing annual returns, business name, partnership, and limited partnership registrationsReviewing tax step memos and preparing related resolutionsConducting complex corporate reviews and other related due diligence in connection with transactions, recommending and drafting rectification materials as necessaryPreparing corporate structure charts to accurately identify voting and participating interestsMonitoring and communicating with senior law clerks and lawyers with respect to ongoing corporate filings and other requirementsConsulting with senior law clerks and lawyers and assisting in identifying necessary or appropriate corporate documentation, searches, and filings in connection with transactions and other corporate requirementsPreparing documentation related to mergers, acquisitions, financings, asset purchases and reorganizationsFostering a respectful and collaborative learning environmentProactively identifying issues and recommending solutionsTo succeed in this role, you have:Completion of law clerk program recognized by the Institute of Law Clerks of Ontario3+ years of related experience gained in a law firm or in-house legal departmentA Member in good standing with the Institute of Law Clerks of OntarioIn depth knowledge and understanding of relevant corporate statutesSuperior administrative, organizational and time management skillsExcellent computer skills, including but not limited to Word, Outlook, and corporate databasesStrong written and oral communication skillsCompetent research and problem-solving skillsDetail oriented, hardworking, and self-motivatedAbility to work independently with minimal supervision from senior law clerks and/or lawyersFamiliarity with extra-provincial and foreign entity record keeping is an assetOur story:Founded in 1962, OMERS is one of Canada’s largest defined benefit pension plans, with $127.4 billion in net assets as at June 30, 2023.
