Our Founding and Managing Lawyer is an entrepreneur himself who is passionate about taking a "Business First, Legal Second" approach to business law services. Our clients care about business results – making money, saving time and protecting their reputation. This means our job is to deliver more than just a fancy piece of paper filled with legal ‘mumbo jumbo’. So, if you think your job is to help deliver a piece of paper to a client without spelling mistakes, then this is not the right place for you. Likewise, if you don’t like crunching numbers, doing simple math and working with Excel files, then please don’t apply – as you’ll be expected to know why our work matters to our clients down to the numbers. We currently need a Corporate Law Clerk who wants to help people solve complex business problems and can approach conversations with maturity and sensitivity to ensure the client experience with our firm is second to none. We need someone who can help us take control of the legal department by acting as the first point of contact for all of our entrepreneurial clients, providing drafting support to our legal team and helping us communicate effectively with our clients while we work through their cases. The most important quality you can possess is a great attitude and willingness to roll up your sleeves and help wherever it’s needed. While we strongly support personal and professional development, we do not have the time to teach you how to complete a PPSA registration or Rollover Transaction, use online filing systems, or overcome your fears of talking to opposing counsel with limited instruction. However, we will provide you with all the training you need to know how to best help our clients. If the following describes you, then YOU may be the Law Clerk we are looking for: • You are a relationship-builder who is comfortable interacting with different types of personalities (easygoing, difficult, wordy, technical, stressed out, etc.) and all levels of authority with tact. • You show empathy to clients and put them at ease during stressful times. • You can handle high-stress transactions with tight deadlines and quick turnaround times… even if it’s on short notice. • You know how to complete complex M&A transactions from start to finish, from due diligence to closing, to drafting all closing documents and post-closing obligations. • You are skilled at communicating with people on the phone, in person and by email. • You think on your toes and not be discouraged when things don’t go as planned. • You treat all deadlines and tasks with the same level of urgency as you would if the client were your family member. • You’re a team player that consistently acts with respect and integrity. • You genuinely care about clients and want to deliver an experience that turns them into raving fans. • You are tech-savvy (we use several cloud-based systems) and aren’t afraid to dive into new software or technology. Responsibilities: Your basic responsibilities will include: • Answer phones, triage calls and take and give messages as primary point of contact for the legal team. • Onboard new clients, manage tasks and deadlines and maintain file organization. • Draft legal contracts, correspondence, letters, closing agendas, resolutions, custom share provisions, government filings, undertakings and other documents. • Organizing and coordinating corporate filings and entity registrations, including annual reports, amalgamations, amendments, dissolutions, good standings and other general filings. • Maintain firm’s precedent library, document automation templates and case management system (Clio). • Maintain calendars, schedule appointments, and ensure the firm calendars are accurately maintained and organized in a logical and efficient manner. • Review pre-bills, initiate trust requests and collect on overdue amounts. Qualifications: These items are non-negotiable: • You must have a minimum of 5+ years of corporate law clerk experience. • You must have a Law Clerk Diploma or equivalent legal experience. • You must be available to work and be in the office Monday – Friday, 9:00 a.m. to 6:00 p.m.. Hybrid options may be available once you’re settled into the position. • You must have strong drafting and organizational skills and be extremely detail-oriented. • You must be comfortable working with various computer programs, databases and systems. • You must be reliable, trustworthy and able to maintain strict confidentiality. • You don’t think making coffee or getting our guests a beverage is beneath you. • You must be a positive, high-energy team player who is results-oriented – No Drama! • You must care about something and have goals in life. Real-life experience and a few “battle scars” dealing with messy transactions are assets. Entrepreneurial experience and overcoming a major obstacle in life so you know at your core what our clients are going through is a plus as well. Prior law clerk experience in business law is required because we can teach you our unique way of working with clients at our firm, but we can’t teach you how to move cases through the system or solve common client problems that may arise. We are looking for a results-oriented team player who wants to have a positive impact on people’s lives while helping us grow our business. The person we hire must bring a high level of energy, positivity, and a can-do attitude to work every day. We are BIG believers in the value of a team. We are looking for someone who has a penchant for problem-solving and who will go out of their way to help a client or push a case forward before running to a lawyer.
