- Advise clients on public and private equity and debt financing transactions.
- Prepare, review, and manage prospectuses, offering documents, and continuous disclosure filings.
- Counsel clients on mergers, acquisitions, and corporate reorganizations, including reverse takeovers and take-over bids.
- Guide clients through regulatory frameworks governing investment funds and asset management to ensure full compliance.
- Draft applications for relief to securities regulators and assist with matters related to stock exchange listings.
- Collaborate with clients on strategies to achieve their capital market objectives.
- Conduct legal research and monitor developments in securities law and regulation.
- Manage case documentation, ensuring meticulous reporting and accurate filings.
- Support the resolution of complaints and claims as needed.
- Mentor and provide guidance for junior team members, fostering their professional growth and attention to detail.
- Membership with the Ontario Bar and a minimum of three years of experience in public company or investment fund transactions.
- Proven expertise in corporate, commercial, and securities law.
- Strong academic background and credentials demonstrating attention to detail.
- Proficiency in legal research tools such as LexisNexis and case management software.
- Ability to handle complex documentation and drafting with attention to detail.
- Exceptional analytical and problem-solving skills.
- Effective communication and interpersonal skills for client and team collaboration.
