We have an opportunity for a Law Clerk.Job SummaryThe Law Clerk is accountable to Legal Counsel in Cambridge and is responsible for supporting the Legal Counsel and General Counsel, Americas.Responsibilities
- Negotiate non-disclosure and confidentiality agreements. This includes drafting the agreements and negotiating with third parties to achieve an executed agreement. Escalation to Legal Counsel as required.
- Prepare other routine corporate and legal documents including resolutions, acknowledgements and contract amendments.
- Instruct external patent and trademark counsel on applications, renewals and abandonment of registered trademarks for the Americas. This requires discussions with regional Presidents and obtaining instructions from them with respect to trademarks for their territories.
- Maintain trademark database through tracking, escalating, and resolving upcoming expirations.
- Conduct legal research and prepare summaries.
- Draft letters, email, and external legal communication as required.
- Collaborate with global sites and external legal firms to have documents notarized and apostilled as required.
- Attend weekly legal meetings and monthly contract management meetings.
- Assist with administrative duties for Legal & General Counsel as necessary including expense reports, booking meetings, and organizing meetings.
- Observes and supports all safety guidelines and regulations.
- Follows GMP and regulatory requirements, and ensures quality standards are met.
- Model the Company Mission, Vision and Values Statements, policies, and current standard business practices.
- Perform other related duties and or special projects as assigned by the Legal Counsel or General Counsel.
- College Diploma from an Ontario Law Clerk Program (2-year program preferred)
- Completion of the Institute of Law Clerks of Ontario Certification
- Membership in good standing with Institute of Law Clerks of Ontario
- Notarial designation would be an asset.
- Must have a minimum of 3 years of experience as a law clerk in a medium to large corporate/commercial environment.
- Experience as an Intellectual Property Clerk in patents and trademarks is preferred but not required.
- Must have a thorough understanding of contracts and the contract process.
- Excellent communication skills and strong writing skills.
- Ability to review and respond to legal questions about contracts.
- Ability to think independently and work autonomously.
- Strong analytical, issue resolution and problem-solving skills.
- Proficient in Word, Excel and PowerPoint.
- Fluent in English (fluency in, or strong knowledge of French will be considered a strong asset).
