- Overall responsibility and accountability for legal department, including general corporate matters, securities laws, mergers and acquisitions, contract management, employment law (including immigration), regulatory matters (including certifications, standards, regulatory approvals, etc. of new chemical substances), risk management, intellectual property, and equity and debt financing activities;
- Reinforce a positive and efficient working and communications style inter-departmentally;
- Draft, review, and negotiate a wide variety of M&A and financing agreements, including Joint Venture Agreements, Underwriting Agreements, Subscription Agreements and Asset or Share Purchase Agreements;
- Draft, review, and negotiate a wide variety of commercial agreements including Supply Agreements, Subcontractor/Partnership Agreements, with domestic and international clients, partners, and subcontractors;
- Provide subject matter expertise regarding laws and guidelines specific to NanoXplore's industry, including the global regulatory landscape;
- Work with outside counsels on key initiatives, corporate structure considerations, internal policy decisions, and other business objectives;
- Develop functional plans and tools for managing legal matters, including activities to be performed in-house or through third parties, to efficiently manage the company's legal activities and minimize risk for the business.
- Proficiency in securities law;
- Proficiency in regulatory affairs, specifically around new chemical substances legislation, and other similarly applicable law;
- Proficiency in mergers and acquisitions;
- Experience in managing a team;
- Proficiency in hands-on commercial agreement negotiation;
- Ability to fulfill corporate governance responsibilities;
- Bilingualism (French-English) is required, as the successful candidate will regularly interact with contacts outside of Quebec
- Business acumen, sound judgment, and solid negotiation skills;
- Flexible and adaptable mindset and working style.
- Law degree and member in good standing of the Quebec Bar;
- 10 years minimum of relevant experience.
